Overview & Purpose

This Payment Authorisation Agreement ("Agreement") governs the recurring payment arrangement between Adopt Cashless Pty Ltd (ABN: 21 690 812 821), trading as Adopt Cashless ("we," "us," "our"), and you, the Operator ("you," "Operator"), for the collection of subscription fees and applicable charges via our third-party payment processor, Stripe, Inc. ("Stripe").

This Agreement forms part of, and must be read alongside, the following Adopt Cashless legal documents, all of which are incorporated by reference:

By completing the Adopt Cashless onboarding process and activating a subscription, you unconditionally accept this Agreement and all documents listed above.

Payment Processor — Stripe, Inc.

Stripe as Independent Third-Party Processor

All subscription billing and payment processing under this Agreement is facilitated exclusively by Stripe, Inc., an independent third-party payment processor. Stripe operates under its own terms of service, privacy policy, and applicable regional compliance frameworks determined by your country of registration.

By accepting this Agreement, you also agree to be bound by:

  • Stripe's Terms of Service: stripe.com/legal
  • Stripe's Privacy Policy: stripe.com/privacy

You are responsible for reviewing and understanding Stripe's terms as they apply to your jurisdiction. Adopt Cashless makes no representation regarding Stripe's compliance obligations in any specific region.

Adopt Cashless Has No Liability for Stripe

Adopt Cashless is a platform customer of Stripe and does not own, operate, or control Stripe's payment infrastructure. Accordingly, to the fullest extent permitted by applicable law:

  • Adopt Cashless accepts no liability for any failure, delay, error, security incident, or disruption caused by or within Stripe's systems;
  • All claims, losses, or disputes arising from Stripe's payment processing services are governed exclusively by Stripe's Terms of Service; and
  • Any technical issues or concerns regarding payment processing should be directed to Stripe's support at support.stripe.com.

No Payment Credentials Stored by Adopt Cashless

Adopt Cashless does not store your full card number, bank account credentials, or any other sensitive payment method details on its own systems. All such data is collected, tokenised, and secured directly by Stripe in full compliance with PCI-DSS (Payment Card Industry Data Security Standards). This is confirmed in our Privacy Policy at adoptcashless.com/privacy-policy.

Payment Authorisation

Your Authorisation

By activating a subscription and providing your payment details during onboarding, you expressly authorise Adopt Cashless and Stripe to automatically charge your nominated payment method on a recurring basis for:

  1. Your applicable subscription plan fees (Free, Lite, Pro, or any successor plan);
  2. Any usage-based or transaction-related charges under your Subscription Agreement; and
  3. Any other fees specified in the Adopt Cashless Platform Policy at adoptcashless.com/platform-policy.

This authorisation mirrors and supplements the recurring charge authorisation set out in Section 4.2 of the Adopt Cashless Platform Policy, which you accepted at the time of subscription.

Recurring Nature of Payments

You acknowledge that this authorisation is for recurring automatic payments and will remain in effect for the duration of your active subscription. It will only cease upon valid cancellation of your subscription in accordance with Section 6 of the Platform Policy and Section 8 of this Agreement.

Payment Method Accuracy & Validity

You warrant that:

  1. You are the authorised account holder or cardholder of the nominated payment method;
  2. All payment details you provide are accurate, current, and complete; and
  3. You will promptly update your payment details via your Adopt Cashless account dashboard if they change at any time.

Adopt Cashless and Stripe may use card network account updater services to update stored payment credentials where your card is renewed or reissued, without requiring you to re-enter your details.

Confidentiality & Data Privacy

Data Handling by Adopt Cashless

Adopt Cashless handles all Operator account and payment information in strict confidence, in accordance with our Privacy Policy at adoptcashless.com/privacy-policy. We will only disclose your information:

  • To the extent required by applicable law or regulation;
  • To Stripe, solely for the purposes of processing payments under this Agreement; or
  • In connection with resolving any query, dispute, or claim.

As stated in our Privacy Policy, Adopt Cashless retains limited payment information only — such as the last four digits of your card, expiry date, and payment tokens — solely as required for recurring billing purposes.

Payment Data Handled by Stripe

Because Adopt Cashless does not store full payment credentials, your sensitive payment data is governed entirely by Stripe's Privacy Policy at stripe.com/privacy. Stripe processes your data in accordance with PCI-DSS and applicable regional data protection laws. Adopt Cashless has no control over and accepts no liability for Stripe's data handling practices.

Your Regional Privacy Rights

Depending on your location, you may have specific rights regarding your personal data under applicable legislation. Adopt Cashless acknowledges and respects the following, as detailed in our Privacy Policy:

  • EEA & UK Users — General Data Protection Regulation (GDPR)
  • Australian Users — Privacy Act 1988 (Cth)
  • California Users — California Consumer Privacy Act (CCPA)
  • All other jurisdictions — Adopt Cashless complies with applicable local privacy obligations to the extent required by law

Billing, Cycles & Processing

Billing Cycle

Subscription fees are charged in advance at the commencement of each billing cycle (monthly, annual, or otherwise as selected at subscription). Your billing cycle and next charge date are always visible in your Adopt Cashless account dashboard. This mirrors the terms set out in Section 4.3 of the Platform Policy.

Processing Timeframes

Payment processing timeframes are determined by Stripe and your financial institution and may vary by country, payment method, and region. Adopt Cashless has no control over and accepts no liability for delays caused by Stripe's systems or your financial institution.

Processing Delays

As set out in Section 4.5 of the Platform Policy, you acknowledge that payment processing may be delayed where:

  1. A public or bank holiday falls on or after the scheduled debit date in your jurisdiction;
  2. A payment request is submitted on a non-Business Day; or
  3. A payment request is submitted after Stripe's or Adopt Cashless's normal operational cut-off times.

Payments affected by any of the above will be processed on the next available Business Day. Adopt Cashless accepts no liability for any consequences arising from such delays.

Sufficient Funds & Valid Payment Method

It is your sole responsibility to ensure that sufficient funds are available in your nominated account, or that your nominated card or payment method is valid and has sufficient credit, on each payment due date. Adopt Cashless accepts no liability for any overdraft fees, penalties, or charges imposed by your financial institution as a result of a failed or declined payment.

Failed & Returned Payments

Retry of Failed Payments

If an automatic debit fails for any reason — including insufficient funds, an expired card, or a declined transaction — Adopt Cashless and Stripe may re-attempt the charge one or more times in accordance with Section 4.4 of the Platform Policy and Stripe's internal retry logic.

Platform Access Suspension

Adopt Cashless reserves the right to suspend or restrict access to the Platform if payment cannot be successfully collected after reasonable retry attempts. Access will be restored upon successful payment of all outstanding amounts.

Your Liability for Failed Payments

In the event of a failed payment, you remain liable for:

  • All outstanding subscription and transaction amounts;
  • Any failed payment fees specified in your Subscription Agreement;
  • Any fees charged by your own financial institution in connection with the attempted debit; and
  • Any reasonable recovery costs incurred by Adopt Cashless, including collection agency or legal fees, in the event of persistent non-payment.

Stripe's Role in Failed Payment Mechanics

The technical mechanics of payment retries, failure notifications, and declined payment handling are governed by Stripe's systems and policies. Adopt Cashless accepts no liability for how Stripe executes payment retries. Refer to stripe.com/legal for full details.

Transaction Fees

How Fees Are Applied

As set out in Section 5 of the Platform Policy, certain Transactions processed through the Platform attract both a Processing Fee (charged by Stripe) and a Platform Fee (charged by Adopt Cashless). Both fees are deducted at the time the Transaction is processed.

Non-Refundable Fees

All Processing Fees and Platform Fees are strictly non-refundable once applied to a completed Transaction, except where Adopt Cashless determines in its sole discretion that a Platform error has occurred, as per Section 5.4 of the Platform Policy.

Changes to Fees

Adopt Cashless will provide a minimum of 60 days' written notice for any increase to the Platform Fee affecting existing Operators. Transaction fees charged by Stripe are subject to Stripe's own pricing and may change in accordance with Stripe's Terms of Service, over which Adopt Cashless has no control.

Variations to Payment Arrangements

Fee Changes by Adopt Cashless

Adopt Cashless reserves the right to vary subscription pricing at any time. For price increases affecting existing subscribers, a minimum of 60 days' prior written notice will be provided to your registered email address, as set out in Sections 4.3 and 12 of the Platform Policy.

Your Obligation to Review Notices

It is your responsibility to ensure your registered email address is current and that you review all notices sent by Adopt Cashless. Continued use of the Platform after a notified price change takes effect constitutes your acceptance of the revised pricing.

Updating Your Payment Method

You may update your nominated payment method at any time via your Adopt Cashless account dashboard. Changes are subject to Stripe's verification processes. Adopt Cashless accepts no liability for failed payments occurring while a payment method update is being processed.

Cancellation & Stopping Payments

Operator's Right to Cancel

As set out in Section 6 of the Platform Policy, you may cancel your subscription at any time through your account dashboard or by contacting Adopt Cashless support. No advance notice period or cancellation fee applies.

Effect of Cancellation on Automatic Debits

Upon cancellation, your access to the Platform will remain active until the end of your current pre-paid billing cycle. No further automatic debits will be initiated after the cancellation date. At the end of the billing cycle, your licence and all access credentials will automatically terminate.

Cancellation does not extinguish any obligation to pay outstanding fees accrued prior to the cancellation date.

Cancellation via Your Financial Institution

You may also contact your bank or card provider directly to cancel a payment authority. However, doing so does not release you from any financial obligations under your Adopt Cashless Subscription Agreement and may result in suspension or termination of your account under Section 8 of the Platform Policy.

Disputed Payments & Chargebacks

Raising a Dispute with Adopt Cashless

Any disputed charges must be directed to Adopt Cashless in the first instance at support@adoptcashless.com. As stated in Section 17 of the Platform Policy, we will make reasonable efforts to resolve billing disputes promptly before any action is taken through your financial institution.

Chargebacks

As set out in Section 7.2 of the Platform Policy, any chargeback or payment dispute that Adopt Cashless determines to be without legitimate basis may result in the immediate suspension or permanent termination of your account. Adopt Cashless reserves the right to contest any such chargeback and to recover all associated fees, costs, and losses.

Nothing in this clause limits any rights you may have under applicable mandatory consumer protection laws that cannot be excluded by contract.

Stripe's Dispute Process

Stripe's chargeback and dispute processes are governed exclusively by Stripe's Terms of Service at stripe.com/legal. Adopt Cashless's ability to resolve or influence Stripe-side disputes is subject to Stripe's procedures and timelines, over which we have no direct control.

Limitation of Liability

Adopt Cashless's Liability Cap

As set out in Section 11.3 of the Platform Policy, to the maximum extent permitted by applicable law, Adopt Cashless's total aggregate liability to you for any claim arising out of or in connection with this Agreement or the Platform is limited to the total subscription fees paid by you to Adopt Cashless in the three (3) months immediately preceding the event giving rise to the claim.

Adopt Cashless is not liable for any indirect, consequential, special, or punitive loss or damage, loss of revenue, loss of profit, loss of data, loss of goodwill, or business interruption.

No Liability for Stripe

Adopt Cashless expressly excludes all liability for:

  • Any act, omission, delay, failure, or error by Stripe in processing payments;
  • Any fees, penalties, or charges imposed by Stripe or your financial institution;
  • Any data breach, security incident, or system failure occurring within Stripe's infrastructure; and
  • Any disruption to Stripe's services, regardless of cause.

All claims arising from Stripe's payment processing are governed exclusively by Stripe's Terms of Service at stripe.com/legal.

Force Majeure

Adopt Cashless will not be liable for any failure or delay arising from circumstances beyond its reasonable control, including natural disasters, acts of government, pandemics, cyberattacks, third-party infrastructure failures, or other force majeure events, as described in Section 11.4 of the Platform Policy.

Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of Queensland, Australia, and the laws of the Commonwealth of Australia, consistent with all other Adopt Cashless legal documents.

Operators outside Australia agree to submit to the exclusive jurisdiction of the courts of Queensland, Australia, and waive any objection to such jurisdiction, as set out in Section 15 of the Platform Policy and the Adopt Cashless Terms & Conditions.

Where applicable mandatory consumer protection laws in your local jurisdiction grant you rights that cannot be excluded by contract, those rights are not affected by this clause.

Entire Agreement

This Agreement, together with the Adopt Cashless Terms & Conditions, Platform Policy, Privacy Policy, and Cookie Policy, constitutes the entire agreement between you and Adopt Cashless with respect to payment authorisation and supersedes all prior representations, understandings, or arrangements. In the event of any inconsistency between this Agreement and the Platform Policy, the Platform Policy prevails to the extent of the inconsistency.

This Agreement is effective from the date you complete the Adopt Cashless onboarding process. By proceeding, you confirm you have read, understood, and agreed to be bound by this Payment Authorisation Agreement in full.
